Since 1994, Worldprofit has assisted small and home based business owners around the world to profit online. We specialize in traffic generation, business-building software, various reseller opportunities, webcasting, and ongoing training and support for our customers. CEO and Co-Founder George Kosch, is a graduate of the Royal Military College in Kingston, Ontario, Canada. He served as a Captain in the Canadian Air Force as a Pilot and later went on to instruct elite students in the jet training program. Eventually, George retired from the Air Force and in 1994 co-founded a small dot-com, start up called Worldprofit. Now over 30 years later, with over 2,967,207 million Members, George is the CEO of Worldprofit while maintaining an active hands-on role as a Software Engineer and Instructor for Members at Worldprofit. George along with fellow co-founder and President Sandi Hunter, together they provide a variety of comprehensive services, training and support to an online worldwide community of home business owners, and affiliate marketers.

George Kosch BSc (Math/Physics) Capt (ret'd)

George Kosch is a Graduate of the distinguished Royal Military College, Canada's West Point. During his time serving the Canadian Air Force, George advanced to the rank of Captain as a jet instructor pilot specializing in training future Top Gun pilots. In 1993, after carefully studying the Internet and its likely future influence, he took early retirement from the Canadian Military and in 1994, with his co-founder Sandi Hunter established Worldprofit.com, one of the very first online companies and to this day, one of the longest enduring dot-com companies. Over the last 24 years, George has invented and coded over 100 unique technical applications for business people, entrepreneurs and organizations worldwide. He is also the Instructor, for Worldprofit's popular Home Business and Affiliate Marketing Training series, drawing on his own hands-on experience of building an Internet business.

George provides LIVE training every week for Worldprofit Members. These sessions are interactive, and he answers questions, does demonstrations and teaches Members what they need to know and do to earn consistent online income from a number of trusted sources. He’s also developed the 125+ online lessons many with videos that Members can learn from to understand all assets of online marketing and business growth. Training topics include traffic generation, lead tools, SEO tactics, eBook creation, article marketing, social media campaigns, target marketing, list building and more - skills and practices that can be used to grow any online business.

In 1994, Sandi enjoyed the distinction of becoming one of the youngest women to take on the role of President in the newly formed dot-com company, known as Worldprofit. Today, Sandi is involved with many facets of the company including research and development, Member services, new service development, training, sales and online marketing. With such a diverse range of technology products, web-based services and advertising for a worldwide customer base, it's critical that customer service and support be a #1 priority. Our focus is very much on training and support to help our Members build their own successful online business - the software, the techie stuff it's all pointless without help and instruction. We insist on a training model and marketing system that is based on help not hype.

Terms & Conditions

1. Subject to the terms and conditions herein contained, Worldprofit hereby grants to the Customer a non-exclusive, non-transferable, revocable license (the “License”) to use the website, without right to sublicense or encumber the website.

2. The term (the “Term”) of the License shall be one (1) year from the date that the Customer has use of the website in the case of full year payment, or 30 days in the case of the month to month payment agreement. The initial purchase of our Silver Membership Hosting and Training package is on a monthly term.

3. The Customer shall pay all amounts owing hereunder by pre-authorized credit card payment.

4. In the event that payments herein contemplated are not made on a timely basis, all amounts overdue shall bear interest at the rate of two (2%) percent per month (24% per annum).

5. In addition to all amounts payable hereunder, the Customer shall be responsible for and pay all taxes and duties, including sales, excise and goods and services tax, payable in relation to or arising from the license, use, possession or operation of the website.

6. The Customer shall not be entitled to deduct or set-off any amounts from or against any amounts owing to Worldprofit hereunder.

7. In the event of any action, suit or other proceeding commenced by Worldprofit to enforce this Agreement, the Customer shall pay to Worldprofit or its designated Agent legal fees, collection fees and disbursements (on a solicitor and own client full indemnity basis) incurred by Worldprofit or its designated Agent in connection with any such action, suit or proceeding.

8. The Customer acknowledges that Worldprofit is the exclusive owner of the website and all intellectual property rights associated therewith and that except as provided in this Agreement, the Customer does not and will not acquire any right, title or interest in the website and the Customer will not dispute or contest for any reason whatsoever, directly or indirectly, before and after expiration or termination of this Agreement, the validity of Worldprofit’s ownership of the website.

9. Worldprofit agrees to provide the Customer reasonable professional technical support from its trained staff during the Term.

10. Worldprofit does not represent or warrant that the website will meet the Customer’s needs and requirements or be free of error or operate without interruption. The Customer acknowledges that the website operates in an environment that includes software and hardware of third party vendors and that Worldprofit does not control the products of such third party vendors. Worldprofit makes no warranties of any kind, whether express or implied, including any implied warranties of merchantability or fitness for a particular use. Worldprofit takes no responsibility for any damages suffered by the Customer, including, but not limited to, loss of data, non-deliveries, missed deliveries or service interruptions. In no event shall Worldprofit be liable for any special, incidental or consequential damages, including damages for loss of business profits, business interruption, loss of business information or other pecuniary loss, lost data, loss of computer time, failure to realize expected savings and any other commercial or economic loss of any kind arising in consequence of Worldprofit’s performance, failure to perform or other breach under this Agreement. The Customer agrees that for any breach or default by Worldprofit in connection with this Agreement, regardless of whether such a breach is a fundamental breach, the Customer’s exclusive remedy shall be the payment by Worldprofit of the Customer’s damages up to a maximum amount equal to the aggregate License fees paid to the date of breach.
WEBSITE TO RESIDE ON WORLDPROFIT SERVER

11. The Customer acknowledges that, during the Term, the website shall reside on Worldprofit’s server. During the License, Worldprofit shall make the website accessible to Internet users.

12. Worldprofit does not represent or warrant to the Customer that the website will be accessible continually and on an uninterrupted basis from the Internet. In no event shall Worldprofit be liable to the Customer for any damages resulting from or relating to any failure or delay of Worldprofit to provide access to the website from the Internet.

13. Worldprofit is not liable for protection or privacy of any electronic information transferred through the Internet and the website.

14. Customer is solely responsible for the content of his or her website and/or a website the customer advertises using Worldprofit’s website. The Customer shall not submit to Worldprofit for publication on the website any of the following material:

(a) any material which violates or infringes any copyright, trade mark, trade secret, patent, statutory, common-law or other proprietary or intellectual rights of others;

(b) any material that is libelous or slanderous;

(c) any material that is or contains anything obscene or pornographic; or

(d) a distribution list to be used via unsolicited electronic mail or other mass electronic mails.

15. Due to the public nature of the Internet, all materials submitted by Customer for publication will be considered publicly assessable. Worldprofit does not screen in advance Customer’s material submitted for publication. Worldprofit’s publication of materials submitted by Customer does not create any express or implied approval by Worldprofit of such, nor does it indicate that such material complies with the terms of this Agreement.

GENERAL

16. Customer will indemnify and hold harmless Worldprofit from and against all claims, damages, costs (including solicitor and own client full indemnity basis), suits or proceedings from any source or for any reason relating, directly or indirectly, to the Customer’s website.

17. The Customer shall comply with all applicable laws, ordinances, regulations and legislation in any way relating to the use and possession of the website.

18. It is Customer’s sole responsibility to become familiar with and to comply with all laws that might relate to the Customer’s website.

19. The Customer may, at any time during the Term, cancel the License without cancellation fee or further obligation. Customers purchasing services of software either on a monthly basis or at full price are not entitled to a refund. Worldprofit Inc., is a service provider and incurs costs for software licensing, advertising, staff labour and incentive retail value bonuses offered at time of purchase.

20. In the event that Worldprofit terminates the License to use the website as herein granted prior to the expiry of the Term upon the occurrence of an Event of Default (as hereinafter defined), the Customer shall pay to Worldprofit, in addition to all License fees owing up to the date of cancellation and all other amounts owing hereunder, that amount equal to the aggregate License fees (being such amount that a Customer would be required to pay for the License for the entire Term), less all License fees paid to Worldprofit up to the date of termination, such sum being a genuine pre-estimate by the parties of the liquidated damages sustained by Worldprofit from the loss of bargain, such sum not to be construed as being a penalty.

21. The following shall constitute “Events of Default”:

(a) if the Customer is in breach of any of the terms of this Agreement or fails to perform any one or more of its obligations hereunder;

(b) if the Customer commits an act of insolvency, or makes an assignment for the general benefit of creditors, or any other proceedings be commenced by or against the Customer under any bankruptcy or insolvency law or proceedings for which the appointment of the custodian, receiver or receiver/manager or any other official of similar powers for the Customer are commenced; and

(c) if the Customer is convicted of or pleads no contest to an indictable offense, a crime involving moral turpitude or any other crime or offense that is likely to adversely affect the reputation and goodwill of Worldprofit.

(d) Chargeback. If, at any time, we record a decline, chargeback or other rejection of a charge of any due and payable Subscription Fees on Customer’s Account (“Chargeback”), this will be considered as a breach of Customer’s payment obligations hereunder, and Customer’s use of the Service may be disabled or terminated and such use of the Service will not resume until Customer re-subscribes for any such Service, and pay any applicable Subscription Fees in full, including any fees and expenses incurred by us and/or any Third Party Service for each Chargeback received (including handling and processing charges and fees incurred by the payment processor), without derogating from any other remedy that may be applicable to us under these Terms or applicable law.

22. Immediately upon the occurrence of an Event of Default, Worldprofit shall be entitled, in its sole and unfettered discretion, to terminate the License without notice and retain the domain name if it was one selected from Worldprofit’s own Domain Name Inventory.

23. Except as herein otherwise provided, all terms, conditions, covenants, agreements and indemnities shall survive the termination of this Agreement.

24. This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta and the Province of Ontario. Worldprofit and the Customer hereby irrevocably and exclusively submit to the jurisdiction of the Courts in and for the Province of Alberta and for the Province of Ontario.

MEMBER CONDUCT

All Visual Content posted or otherwise submitted to the Site, and any comments, or other communications ("Communications", with Visual Content and Communications collectively referred to as "Content") is the sole responsibility of the account holder from which such Communications originate. You acknowledge and agree that you, and not Worldprofit, Inc., are entirely responsible for all Content that you post, or otherwise submit to the Site, including via messages exchanged through Worldprofit, Inc.’s messenger service. Worldprofit, Inc. does not control user submitted Content and, as such, does not guarantee the accuracy, integrity, or quality of such Content. You understand that by using the Site, you may be exposed to Content that is offensive, indecent, or objectionable.

As a condition of use, you promise to abide by our Content Guidelines and not to use the Services for any purpose that is unlawful or prohibited by these Terms, or any other purpose not reasonably intended by Worldprofit, Inc.. By way of example, and not as a limitation, you agree not to use the Services:

1) To abuse, harass, threaten, impersonate, or intimidate any person;

2) To post or transmit, or cause to be posted or transmitted, any Content that is libelous, defamatory, obscene, pornographic, abusive, offensive, profane, or that infringes any copyright or other right of any person;

3) To communicate with Worldprofit, Inc. representatives or other users in an abusive or offensive manner;

4) For any purpose (including posting or viewing Content) that is not permitted under the laws of the jurisdiction where you use the Services;

5) To post or transmit, or cause to be posted or transmitted, any Communication designed or intended to obtain password, account, or private information from any Worldprofit, Inc. user;

6) To create or transmit unwanted ‘spam’ to any person or any URL;

7) To create multiple accounts for the purpose of voting for users’ Visual Content;

8) To post copyrighted Content that does not belong to you, unless you are commenting on Visual Content in Blogs, where you may post such Content subject to providing appropriate attribution to the copyright owner and a link to the source of the Content;

9) With the exception of accessing RSS feeds, you agree not to use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission. Additionally, you agree that you will not: (i) take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure; (ii) interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; or (iii) bypass any measures we may use to prevent or restrict access to the Site;

10) To artificially alter vote counts, blog counts, comments, or any other Service or for the purpose of giving or receiving money or other compensation in exchange for votes and/or in an attempt to alter the result of any contest or promotion, or for participating in any other organized effort that in any way artificially alters the results of Services;

11) To advertise to, or solicit, any user to buy or sell any third party products or services, or to use any information obtained from the Services in order to contact, advertise to, solicit, or sell to any user without their prior explicit consent;

12) To promote or sell Visual Content of another person unless you are expressly authorized to do so; or

13) To sell, assign, or otherwise transfer your Profile or account.

To report a suspected abuse of the Site or a breach of the Terms (other than relating to copyright infringement which is addressed under "COPYRIGHT COMPLAINTS" below), please send written notice to Worldprofit, Inc. at https://worldprofit.com/support

You are solely responsible for your interactions with other users of the Site. Worldprofit, Inc. reserves the right, but has no obligation, to review disputes between you and other users. This includes the right to review messages exchanged through Worldprofit, Inc.'s Live Business Center service, based on any reports that Worldprofit, Inc. receives alleging the violation of these Terms through the use of Worldprofit, Inc.’s Live Business Center service, including without limitation, reports regarding alleged harassment, indecency, and offensive messages.

Worldprofit may suspend or terminate your account or cease providing you with all or part of the Services at any time for any or no reason, including, but not limited to, if we reasonably believe: (i) you have violated these Terms or the Rules and Policies of Worldprofit Community Guidelines, (ii) you create risk or possible legal exposure for us; (iii) your account should be removed due to unlawful conduct, (iv) your account should be removed due to prolonged inactivity; or (v) our provision of the Services to you is no longer commercially viable. We will make reasonable efforts to notify you by the email address associated with your account or the next time you attempt to access your account, depending on the circumstances. In all such cases, the Terms shall terminate, including, without limitation, your license to use the Services.  For the avoidance of doubt, these Terms survive the deactivation or termination of your account.

ANTI-SPAM POLICY

This sets forth our policy with regard to the use of “Spam” marketing techniques in conjunction with Internet Marketing.  In the event that we deem you to be in violation of these policies we shall immediately revoke your membership rights and close any active account .

We have a strict  policy against spamming. We forbid the sending of unsolicited mass Emails or unsolicited Emails of any kind in conjunction with marketing of our programs, products and services.

We reserve the right to terminate your account and participation in our programs “for cause” if we deem you to be in violation of our anti-spamming policies. We also reserve the right to suspend your account and participation pending review upon receipt of any complaint or other evidence the you may be engaging in any spamming activity.

We consider spamming to be any activity whereby you, directly or indirectly transmit email messages to any email address that has not solicited such email and does not consent to such transmission.  We also consider spamming to constitute posting advertisements in newsgroups in violation of the terms of participation in such newsgroup,  that are off-topic, or in newsgroups that do not specifically permit advertisements. We also consider it spamming when advertisements are placed on message boards or in chat rooms when they are not permitted by the terms of participation in such message boards and chat rooms.

Worldprofit, Inc. may process your Personal Data because:

Under certain circumstances, Worldprofit, Inc. may be required to disclose your Personal Data if required to do so by law or in response to valid requests by public authorities (e.g. a court or a government agency).

Worldprofit, Inc. may disclose your Personal Data in the good faith belief that such action is necessary to:

Security of Data

Service Providers
